1. Acceptance of Terms

By accessing www.softwaller.com ("Website") or engaging the services of Softwaller Technologies Private Limited ("Softwaller", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services. These terms are governed by the laws of India.

2. Services Offered

Softwaller Technologies provides custom software development services including but not limited to: CRM systems, ERP platforms, Inventory Management Systems, HR & Payroll software, GST billing and accounting software, WhatsApp Business API integration, web applications, mobile applications, and related consulting and support services.

3. Project Engagements

All software development projects are governed by a separate Project Agreement / Statement of Work (SOW) executed between Softwaller and the client. The SOW defines scope, timelines, milestones, deliverables, and payment terms. These Terms of Service apply in addition to, and do not replace, the Project Agreement.

4. Payment Terms

Unless otherwise stated in the Project Agreement: (a) An advance of 30–50% is payable before project commencement; (b) Subsequent milestone payments are due within 7 working days of milestone delivery; (c) Final payment is due before final code handover or go-live; (d) All prices are exclusive of GST (18%) unless explicitly stated otherwise; (e) Delayed payments attract interest at 2% per month from the due date.

5. Intellectual Property

Upon receipt of full payment, the client receives ownership of the custom software code developed specifically for them. Softwaller retains ownership of: (a) pre-existing frameworks, libraries, and reusable components developed prior to the engagement; (b) any open-source components used (subject to their respective licences); and (c) proprietary methodologies and processes.

6. Warranties and Liability

Softwaller warrants that software delivered will materially conform to the agreed specifications for 90 days post-delivery (warranty period). Softwaller's total aggregate liability under any project shall not exceed the total fees paid by the client for that specific project. Softwaller shall not be liable for indirect, consequential, or incidental damages.

7. Confidentiality

Both parties agree to keep confidential all non-public information shared during the engagement, including but not limited to business processes, pricing, client data, and technical specifications. This obligation survives termination of the engagement for a period of 3 years.

8. WhatsApp Business API Services

Softwaller uses the official WhatsApp Business API (provided by Meta Platforms, Inc.) to deliver messaging services to clients and their end users. By using our services that involve WhatsApp communication, you acknowledge and agree to the following:

8.1 Consent to Receive Messages: By submitting the contact form on our website with the WhatsApp consent checkbox selected, by sending us a message on WhatsApp, or by providing written consent during a service engagement, you explicitly consent to receive messages from Softwaller Technologies via WhatsApp. Messages may include service communications, project updates, order notifications, appointment reminders, payment information, and promotional content (only if separately consented to).

8.2 Opt-In and Opt-Out: All WhatsApp messaging is strictly opt-in. You will never receive unsolicited messages without your prior consent. You may opt out at any time by replying "STOP" to any message, emailing info@softwaller.com, or calling +91 95859 99819. Opt-out is processed within 24 hours.

8.3 Meta Platform Compliance: All WhatsApp messaging is subject to Meta's WhatsApp Business Platform Terms of Service and Commerce Policy. Softwaller is a technology provider and does not control WhatsApp's platform availability, message delivery, or policy changes by Meta.

8.4 Message Templates: Transactional and promotional message templates are pre-approved by Meta before use. Softwaller does not send messages that violate Meta's content guidelines.

8.5 Client Responsibilities (for WhatsApp API Integration Projects): Where Softwaller builds WhatsApp Business API integrations for clients, the client is solely responsible for: obtaining end-user consent before sending messages, complying with Meta's policies and applicable data protection laws, maintaining opt-out mechanisms, and ensuring message content adheres to Meta guidelines.

8.6 Data Handling: WhatsApp messaging data is handled in accordance with our Privacy Policy (Section 10) and our WhatsApp Messaging Policy.

9. Website Use

You agree not to: (a) use this website for any unlawful purpose; (b) attempt to gain unauthorised access to any system; (c) reproduce or republish any website content without written permission; (d) use the website to transmit spam or malicious content.

10. Termination

Either party may terminate a project engagement with 30 days' written notice. On termination, the client shall pay for all work completed to date on a pro-rata basis. Work-in-progress shall be delivered to the client upon receipt of payment for completed work.

11. Governing Law and Disputes

These terms are governed by the laws of India. Any dispute arising shall be subject to the exclusive jurisdiction of courts in Chennai, Tamil Nadu. Parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.

12. Amendments

We reserve the right to update these Terms at any time. Continued use of the website or services after changes constitutes acceptance of the revised terms.
